Terms of Service

Last Revised: October 6, 2026

These Terms of Service ("Terms") govern the use of the mobile application and related services (the "Service") provided by ZIQOO (the "Operator").

By installing the Service, creating an account, or using any feature of the Service, users agree to these Terms.

Matters relating to the processing of personal information are governed by the Privacy Policy.

Risks and allocation of responsibility relating to ZIQOO Token and the reward program, Business Information and reviews, chats and communities, and the Crypto Wallet are governed by the Disclaimer.

If these Terms conflict with those documents, the provisions of the document governing the relevant subject matter will prevail.

1. Purpose

These Terms set out the rights, obligations, responsibilities, conditions, and procedures governing the relationship between the Operator and users in connection with use of the Service.

3. Effect and Modification of These Terms

  1. The Operator posts these Terms in Settings > Guides and policies >

Terms of service.

  1. The Operator may modify these Terms to the extent permitted by

applicable law. The effective date and details of any modification will be announced through the app or other notice.

  1. If a user continues using the Service after revised Terms take

effect, the user will be deemed to have agreed to the revised Terms. If applicable law requires separate consent for a particular change, the Operator will follow the legally required procedure. Users who do not agree may delete their accounts and stop using the Service.

4. Description of the Service

The Service may include the following features.

All or part of the Service may be added, modified, or discontinued due to operational, legal, partnership-related, or technical circumstances.

  • Map- and location-based business search and display of Business

Information

  • Neighbor Reviews, Visitor Reviews, submissions, reports, and

business-owner verification

files, media, and notifications

  • Other features displayed in the app

The Operator does not guarantee that the Service will always be uninterrupted, error-free, or fully suitable for a particular purpose.

5. Accounts and Registration

  1. Certain features of the Service may require account registration.
  2. Persons under 14 years of age may not register without the consent

of their legal representative.

  1. Users must provide accurate and up-to-date information when

registering. Users are responsible for disadvantages resulting from false information.

  1. Users are responsible for managing their accounts, devices, and

authentication methods. Accounts may not be transferred, loaned, or shared with third parties.

  1. The Operator may refuse registration or restrict use where

violations of law or these Terms, infringement of another person's rights, or interference with normal operation of the Service are identified.

6. User Obligations

Users must comply with applicable law, these Terms, notices and instructions provided in the app, the Privacy Policy, and the Disclaimer.

Users are responsible for their own use of the Service and for content they submit.

7. Prohibited Conduct

Users must not:

  1. Engage in conduct that violates applicable law or constitutes a

criminal offense.

  1. Infringe another person's rights, including rights relating to

likeness, reputation, personal information, copyright, or trademarks.

  1. Post or engage in obscene, hateful, discriminatory, violent,

harassing, stalking, or threatening conduct.

  1. Distribute spam, unauthorized advertising, fraud, phishing content,

or malware.

  1. Circumvent or interfere with the Service, servers, security, or

encryption systems, or use automated means for abnormal access.

  1. Request or steal another user's account credentials, recovery

phrase, private keys, or authentication information.

  1. Obtain or attempt to obtain ZIQOO Token rewards through improper

methods, including multiple accounts, automation, false or duplicated reviews, or location manipulation.

  1. Submit false Business Information, false reviews, or false reports.
  2. Impersonate the Operator or another person or entity.
  3. Otherwise interfere with the normal operation of the Service.

If such conduct is detected or reported, the Operator may take appropriate action based on information it is able to access, including reports, metadata, content in Public Channels, Neighborhood News, Neighborhood Groups, International News or International Groups, and account information, without reading the plaintext contents of 1:1 Chats or Private Group Chats.

8. User Content and Intellectual Property

  1. Rights in the Service, app, trademarks, logos, and software belong

to the Operator or the applicable rights holder.

  1. Rights in reviews, photos, profiles, Public Channel posts, community

posts, and other content uploaded by users remain with the applicable user. Users grant the Operator permission to use such content to the extent necessary to provide and display the Service, create backups, correct errors, and comply with legal obligations.

  1. Users may upload only content they have the right to upload.
  2. The Operator may remove or restrict access to content that violates

applicable law or these Terms or is subject to a rights-infringement report. Because the Operator cannot inspect the contents of ciphertext in 1:1 Chats and Private Group Chats, this provision applies only to content the Operator is able to access.

9. ZChat

9.1 1:1 Chats and Private Group Chats

1:1 Chats use end-to-end encryption (E2EE), while Private Group Chats use Messaging Layer Security (MLS).

Message content and attachments are encrypted on users' devices before being stored on servers.

The Operator does not retain plaintext messages or plaintext chat keys and cannot open or restore conversations on behalf of users.

Some conversations may become inaccessible due to device changes, app deletion, lost keys, deletion or blocking by another user, expiration of a retention period, or similar circumstances.

The Operator cannot recreate plaintext that is not available on its servers.

9.2 Public Channels and Community Features

Public Channels, Neighborhood News, Neighborhood Groups, International News, and International Groups are communities with many participants and are not covered by E2EE or MLS.

Names, descriptions, posts, comments, and attachment information are processed on servers in a form that the Operator can access.

Users are responsible for content they post.

9.3 Notifications and Previews

Push notifications depend on the device, operating system, and notification settings.

The Service is designed so that the plaintext body of an encrypted conversation is not included directly in a push notification.

The Operator does not guarantee that notifications will always be delivered or that previews will always be displayed.

9.4 Disputes Between Users

Users are the parties to conversations, arrangements, transactions, and disputes conducted through ZChat.

Where the Operator cannot access the underlying plaintext conversation, it may be unable to mediate the dispute and may be limited to receiving reports and taking account-related action.

10. Maps and Business Information

Business names, locations, contact information, operating information, search results, and map displays are provided for reference.

Their timeliness, accuracy, and completeness are not guaranteed.

The Operator is not a party to transactions between users and businesses.

Further limitations of responsibility are set out in the Disclaimer.

11. Crypto Wallet and ZIQOO Token

  1. The Crypto Wallet is self-custodial. The Operator does not retain

users' recovery phrases, private keys, or unencrypted recovery data and will never request them, including through customer support.

  1. Losses resulting from a lost or exposed recovery phrase, a transfer

sent to an incorrect address, or blockchain network errors fall within the user's responsibility.

  1. ZIQOO Token is an SPL Token on the Solana network that may be paid

to the user's own self-custodial wallet as a reward for qualifying activities. The Operator does not guarantee the price, appreciation, investment return, liquidity, or exchange listing of ZIQOO Token and does not provide a service for buying, selling, exchanging, redeeming, or converting ZIQOO Token into cash.

  1. ZIQOO Token rewards will be enabled in stages according to the

official launch schedule and may be changed, reduced, or discontinued due to applicable laws or operational reasons.

  1. Further details are set out in the Disclaimer.

12. Privacy

The Operator processes personal information in accordance with applicable law.

The categories of information processed, purposes of processing, retention, disclosures to third parties, and user rights are governed by the Privacy Policy.

In particular:

  1. Phone numbers used for contact matching are stored as hashes rather

than in plaintext.

  1. The addresses and coordinates of a user's home, workplace, and other

familiar places are encrypted and stored on the user's device. The keys used for decryption are also kept in secure storage on the device. ZIQOO servers do not store these addresses or coordinates, and the app does not send them to ZIQOO servers.

  1. For Neighborhood features, the server stores only the user's 1 km

grid-cell membership based on the user's home or workplace and the user's selected Neighborhood Radius.

  1. During device migration, encrypted address data and keys may be

stored in platform backup services such as Android Block Store or iCloud Keychain on iOS. These backup services are not ZIQOO servers.

  1. The Operator does not retain the plaintext contents of 1:1 Chats or

Private Group Chats.

13. Changes to or Discontinuation of the Service

The Operator may change or discontinue all or part of the Service, with notice before or after the change as appropriate, in circumstances including:

  1. Maintenance, technical failures, communications outages, or

termination of a partnership

  1. Changes in law or requests from regulatory authorities
  2. Urgent security needs
  3. Other substantial operational reasons

To the extent permitted by applicable law, the Operator is not liable for damages resulting from changes to or discontinuation of features provided free of charge.

14. Restrictions and Termination

  1. Users may terminate their agreement with the Operator at any time

through the account-deletion feature in the app or another method specified by the Operator.

  1. The Operator may issue warnings, restrict features, suspend

accounts, or terminate the agreement in cases involving violations of these Terms or applicable law, repeated reports, or security threats.

  1. After termination, the Operator cannot recover ciphertext from 1:1

Chats or Private Group Chats, My Places information stored on the device, or assets in a self-custodial wallet on behalf of the user. Wallet assets may be accessed again only if the user retains the recovery phrase and restores the corresponding wallet.

15. Limitation of Liability

To the extent permitted by applicable law, the Operator is not liable for losses resulting from:

  1. Matters relating to ZIQOO Token and the reward program, Business

Information, or the Crypto Wallet as described in the Disclaimer

  1. User fault, acts of third parties, natural disasters, or failures of

telecommunications, cloud, map, or other third-party service providers

  1. Use of, or inability to use, features provided free of charge
  2. Inability to access conversations because of lost ZChat keys, device

changes, app deletion, or similar circumstances

This limitation does not apply to losses caused by the Operator's willful misconduct or gross negligence or where liability cannot be limited under applicable law.

16. Damages

If the Operator or a user breaches these Terms and causes loss to the other party, that party will be liable to the extent the loss results from that party's willful misconduct or negligence.

Section 15 and the Disclaimer apply to free services and areas of third-party responsibility.

17. Governing Law and Dispute Resolution

  1. These Terms and the Service are governed by the laws of the Republic

of Korea.

  1. The parties will first attempt in good faith to resolve disputes

through consultation. If no resolution is reached, either party may bring an action before a court having jurisdiction under the Civil Procedure Act of Korea.

  1. Where mandatory provisions of the Act on the Consumer Protection in

Electronic Commerce, Etc., or other applicable laws apply, those provisions will prevail.

  1. Nothing in this Section limits mandatory laws or consumer rights

applicable in a user's country of residence or place of use.

18. Notices

Matters not addressed in these Terms are governed by applicable law, the Privacy Policy, the Disclaimer, and notices or instructions provided in the app.

The original language of these Terms is Korean.

If a translation differs from the Korean version, the Korean version will control, except where mandatory applicable law requires otherwise.
